The main activity of GP ARCHIVES company (hereinafter “GP ARCHIVES”) consists of conserving, restoring, distributing, and producing film and audiovisual content.
GP ARCHIVES exploits and manages film archives and documentaries collections and, on request, makes copies of contents from those collections (hereinafter the “Contents”) available to the public in digital and/or photochemical form. To that end, it operates the website www.gparchives.com (hereinafter the “Website”).
The purpose of these General Terms of Use is to provide a contractual framework for the use of the Website.
These General Terms of Use shall be binding on any person visiting or using the Website (hereinafter “User”).
These General Terms of Use set forth the entire agreement between the parties with respect to the subject matter hereof and supersede any previous agreements or understandings heretofore in effect.
Whenever User would like to place an order for Contents, GP ARCHIVES’ General Terms and Conditions shall apply in addition to these General Terms of Use.
In order to be able to create a user account on the Website, User shall first read these General Terms of Use and accept them unreservedly.
GP ARCHIVES reserves the right to change these General Terms of Use at any time. User shall be informed of this by means of a notification on the Website’s home page. In case User does not accept the new version, it may request that its user account be deleted; as a consequence, User will no longer be able to use GP ARCHIVES’ services on the Website. In case User continues to access the Website after the new version of the General Terms of Use has come into force, it shall be deemed to have accepted this version. Any new version of these General Terms and Conditions supersedes the version previously into force from the date on which the new version comes into force.
As part of its management of film archives, GP ARCHIVES makes the Contents available on the Website solely so as Users may consult and search them in order to place an order later on. The fact that the Contents are made available on the Website shall not be construed as a right of use being granted to User on the Contents. In particular, User shall refrain from communicating or distributing, in any way and for any reason, the Contents that were not ordered.
User who wishes to watch the Contents shall request access codes. GP ARCHIVES shall give User an access code that allows it to consult the Contents and to place an order.
Use of the service on the Website is restricted to professionals and non-professionals within the meaning of Introductory Article of the Consumer Code.
In order to search and watch the Contents and place an order for the Contents on the Website, User shall create a user account.
User shall give authentic and comprehensive identification and contact data, update those when they change and spontaneously rectify any mistakes. GP ARCHIVES reserves the right to ask for supporting documents at any time.
As a consumer, you have the right to put your name on a list to prevent unsolicited phone calls (Bloctel: bloctel.gouv.fr).
Connection settings (login and password) are unique, personal, and strictly confidential. User shall be solely responsible for the use of its login details. User shall use them for personal use and shall refrain from giving them to third parties.
User may request its user account to be deleted at any time on the following e-mail address: contact@gparchives.com.
GP ARCHIVES reserves the right to suspend access to a user account or to delete a user account in the event User failed to comply with its obligations under these General Terms of Use or infringed upon GP ARCHIVES’ intellectual property rights or third parties’. In particular, in the event User used the Contents without being authorised to, GP ARCHIVES shall delete the user account of the User immediately and shall reserve the right to take any judicial action.
GP ARCHIVES endeavours to provide stable and uninterrupted access to the Website. The Website may not be accessible temporarily for maintenance or updating reasons.
Only GP ARCHIVES is in charge of providing preventive, corrective, and progressive maintenance for the Website, whether directly or indirectly. User may report any deficiencies encountered while login in or using the Website to GP ARCHIVES. GP ARCHIVES does not guarantee that there is no deficiency affecting the Website.
GP ARCHIVES reserves the right to update the Website. Some updates may be for corrective purposes, while others may be for progressive purposes, in particular in order to improve the Website or to keep it compliant with applicable regulation.
The Internet network inevitably displays technical hazards that may have an effect on user experience on the Website.
User shall bear all the costs of purchasing, installing, maintaining, and connecting the various means of telecommunication required to access the Website.
While browsing the Website, User shall (i) use the Website lawfully, i.e. in accordance with the laws and regulations in force and with these General Terms of use and (ii) use the Website in accordance with its intended purpose, i.e. to search and watch the Contents in order to place an order later on.
User shall refrain from (i) using any automated process, programme or tool, applet, bot or robot or similar means to access the Website, using any data mining system while using the Website and, in particular, while searching for Contents, in any way and for any reason, in particular downloading, indexing, extracting or caching any content on the Website, (ii) disrupting the normal operation of the Website and/or interfering with the Website, in particular by means of downloading computer viruses, overloading, flooding, spamming, mail bombing, or crashing, and (iii) using the Website with fraudulent or illicit intent.
Nothing in these General Terms of Use shall be construed as authorising User to exploit the intellectual property assets that are on the Website.
All the texts, images, videos, logos and graphic interfaces on the Website and on all GP ARCHIVES’ documentation, in particular the Contents, as well as the Website’s computer component (the software and its documentation), and the architecture and structure of the database that is on the Website are protected by intellectual property rights in the whole world. It is therefore forbidden to copy, modify, distribute, transmit, broadcast, communicate, publish, license, transfer or exploit in any other way the aforementioned elements without authorisation, all such uses being likely to be an infringement.
It is forbidden to work on the Website’s source code in any way and for any reason, even in order to correct anomalies, maintenance being managed by GP ARCHIVES.
The content of the Website’s database is protected by the sui generis database right. In accordance with Article L. 342-1 of the Intellectual Property Code, GP ARCHIVES which is the maker of the database prevents extraction and/or re-utilization of contents of that database without its authorisation.
It is forbidden to modify or seek to circumvent any technical measure applied to the Website or to the Contents.
Anyone who does not respect these intellectual property rights may be prosecuted.
GP ARCHIVES hereby objects to any copies or digital reproductions of the audiovisual works, contents and/or any of their components that are protected by author’s right (texts, graphics, signs, signals, sounds, images, etc.) and that are on the Website for the purpose or by text and data mining by a Generative Artificial Intelligence (GAI) system, within the meaning of Articles L. 122-5-3(III) and L. 211-3(8) of the Intellectual Property Code (CPI) transposing Directive (EU) 2019/790 of 17 April 2019 on copyright and related rights in the Digital Single Market.
Article R. 122-28 of CPI states that such opposition ‘need not be justified and may be expressed by any means. In the case of content made available to the public online, such opposition may be expressed in particular by means of machine-readable processes, including metadata, and by the general terms of use of a website or of a service’.
In the context of its activities, GP ARCHIVES may authorise its co-contractors and/or news organisation to use the audiovisual works, content and/or any of their components that are protected by author’s right (texts, graphics, signs, signals, sounds, images, etc.) and that are on the Website to the extent strictly necessary to carry out the authorised use or for information purposes. However, these co-contractors and/or news organization are not authorised to make copies or digital reproductions of these works and content and/or their components for the purpose or by text and data mining, nor are they authorised to allow a third party to do so, especially a GAI system. As a result, any text and data mining by a GAI system or by a third party using the audiovisual works, content and/or any of their components that are protected by author’s right (texts, graphics, signs, signals, sounds, images, etc.) and that are made available to the public online on the Website, regardless of whether they are made available in full or in excerpts, in open access free of charge or not, is infringement which is punishable by penalties provided for in Articles L. 133-1 et seq. of the CPI, unless GP ARCHIVES (or, where applicable, the collective management organization mandated by GP ARCHIVES) has expressly agreed to it.
To facilitate reading of this opposition right by a machine or by any automated data collection device, this opposition is also expressed as follows: < TDM-RESERVATION: 1> or TDM: NO.
The intended purpose of making the Contents available on the Website is solely to allow Users to search and watch the Contents and to place an order later on. GP ARCHIVES is not bound by any guarantee in respect of the Contents that have not been ordered first.
GP ARCHIVES shall not be liable for any damages caused solely by the negligence or fault of the User, by the unforeseeable and insurmountable act of a third party or in the event of force majeure.
The Website is a standardised IT solution that has not been developed for the needs of a specific user.
11.1.User agrees to accept these General Terms of Use by electronic means. The parties agree that an electronic signature has the same value as a handwritten signature.
11.2.The failure to exercise any right provided in the Contract shall not be a waiver of prior or subsequent rights.
11.3.Should there be a discrepancy or a difference in interpretation between the French version and any other version of these General Terms and Conditions in another language, the French version shall be the only one binding and shall prevail. Any version of these General Terms and Conditions in a language that is not French shall serve for information purposes only.
These general terms of use shall be construed and governed according to the laws of France (FR), without prejudice to the application of provisions that cannot be derogated from by agreement by virtue of the law of the country where the consumer has his habitual residence in accordance with Article 6(2) of Regulation (EC) No 593/2008.
WHENEVER USER IS A PROFESSIONAL, The Parties consent to the exclusive jurisdiction of the courts located in PARIS, France (FR), for any legal action, suit or proceeding arising out of or in connection with THESE GENERAL TERMS OF USE, notwithstanding multiple defendants, INCRIMINATION, guarantee call, or procedure for interim relief.
